Terms & Conditions

1. Scope of Agreement

These general agreed terms apply to all transactions between you and Basroc. Other documents related to our transactions may include specific terms and conditions.

2. Pricing

“Price” refers to our fixed and published price, the price we agree upon with you, or the price established through a consistent history of transactions. Unless otherwise agreed, the price includes delivery costs.

3. Ownership and Title

You do not gain ownership of the goods until we receive full payment.

You agree to sign any necessary documents and take any actions required to protect our rights under this agreement. You also appoint us as your attorney to sign documents or take action on your behalf to enforce our rights if you default.

4. Risk and Delivery

Unless agreed otherwise, risk transfers to you once we ship the goods FOB (Free On Board) from our usual place of business to your specified location.

You are responsible for filing any damage claims with carriers or agents. You must insure the goods against loss or damage until you complete payment.

5. Damage and Insurance Claims

If any goods are damaged or destroyed after shipment, you must instruct your insurer to pay all insurance money directly to us.

We will apply the insurance money in the following order:

  1. First, to cover the outstanding price of the damaged or destroyed goods.

  2. Second, to cover any unpaid amount for other goods supplied under this agreement.

  3. Third, to reduce any other balance you owe us under any agreement.

  4. Finally, we will pay you any remaining amount.

6. Your Representations

You confirm that all information and representations made by you, or anyone acting on your behalf, are true and correct. You confirm that you have disclosed all relevant information that may affect our decision to transact with you.

You also confirm that there are no current disputes or court proceedings that could negatively affect your ability to meet your obligations under this agreement.

7. Acceptance and Rejection of Goods

You must accept the goods immediately upon delivery. Acceptance occurs if:

  • You indicate (by words or actions) that the goods conform.

  • You keep the goods despite nonconformity.

  • You use or handle the goods in a way that suggests you accept ownership.

You may reject goods only if you have valid reasons and have had a reasonable chance to inspect them. You must notify us immediately with full details of any nonconformity.

If you’ve already paid, we will refund you or apply the amount toward replacement goods. If you’re on a payment plan, you must continue to meet the agreed terms.

8. Payment Obligations

Your right to keep or dispose of the delivered goods depends on your compliance with our agreed payment terms.
